2. Acceptance of Terms

By accessing our website or using our services, you agree to be bound by these Terms & Conditions. If you do not agree, you must not use our website or services.


3. Our Services

Stylux Limited provides digital services including (but not limited to):

  • Website design and development

  • Moodle / LMS development, hosting, and support

  • Software integrations (e.g. Microsoft, Google, Turnitin, payment gateways)

  • Digital consultancy and technical support

  • Hosting, maintenance, and managed services

Specific services, deliverables, timelines, and fees will be governed by a written agreement, proposal, SLA, or contract agreed with the client.


4. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information

  • Ensure they have the legal right to use supplied content (text, images, logos, data)

  • Review and approve deliverables in a timely manner

  • Maintain confidentiality of login credentials

  • Comply with applicable laws and regulations

Stylux is not responsible for delays caused by client inaction or incomplete information.


5. Fees & Payments

  • Fees are as stated in the agreed proposal, invoice, or contract

  • Invoices are payable within the stated payment terms

  • Late payments may result in service suspension

  • All fees are exclusive of VAT unless stated otherwise

Credit notes, refunds, and cancellations are subject to our Credit Note & Refund Policy.


6. Intellectual Property

Unless otherwise agreed in writing:

  • Stylux retains ownership of all pre-existing intellectual property

  • Upon full payment, the client is granted a licence to use the delivered work for its intended purpose

  • Stylux may showcase completed work in its portfolio unless confidentiality is agreed

Clients must not resell, sublicense, or reuse deliverables outside the agreed scope.


7. Third-Party Services

Our services may integrate or rely on third-party platforms (e.g. Moodle plugins, Microsoft, Google, Turnitin, hosting providers).

Stylux is not responsible for:

  • Third-party outages or service changes

  • Licensing or subscription costs imposed by third parties

  • Changes to third-party terms or APIs


8. Data Protection & GDPR

Stylux Limited processes personal data in accordance with the UK GDPR and Data Protection Act 2018.

Where applicable:

  • Stylux acts as a Data Processor

  • The client acts as the Data Controller

Full details are provided in our Privacy Policy and Data Processing Agreement (DPA).


9. Confidentiality

Both parties agree to keep confidential any proprietary, technical, commercial, or personal information disclosed during the course of the engagement, unless required by law.


10. Limitation of Liability

To the maximum extent permitted by law:

  • Stylux shall not be liable for indirect, incidental, or consequential losses

  • Liability is limited to the fees paid for the relevant service in the preceding 12 months

  • Nothing limits liability for death, personal injury, fraud, or wilful misconduct


11. Warranties & Disclaimers

  • Services are provided with reasonable care and skill

  • We do not guarantee uninterrupted or error-free operation

  • Website content is provided “as is” for general information purposes


12. Suspension & Termination

Stylux may suspend or terminate services if:

  • Payment terms are breached

  • The client misuses systems or breaches the agreement

  • Continued service would breach legal or regulatory requirements

Termination does not affect accrued rights or outstanding payments.


13. Force Majeure

Stylux is not liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, cyber incidents, power failures, or third-party outages.


14. Governing Law & Jurisdiction

These Terms & Conditions are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the English courts.


15. Changes to These Terms

Stylux reserves the right to update these Terms & Conditions at any time.
Continued use of the website or services constitutes acceptance of the updated terms.
